Niba Stem Academy – Terms of Service

1. Introduction

Welcome to Niba Stem Academy Inc. ("Niba Stem," "Niba Stem Academy," "NIBA STEM," "we," "us," or "our"), located in North Vancouver, British Columbia.

These Terms of Service ("Terms") govern your access to and use of our website, services, and offerings, as well as participation in and attendance at any classes, workshops, camps, events, or activities provided by Niba Stem (collectively, the "Programs").

For the purposes of these Terms, "Locations" means any physical premises, facilities, or venues owned, leased, operated, or used by Niba Stem in connection with its Programs, including classrooms, partner facilities, event spaces, and any other sites where Programs are conducted.

Niba Stem Academy provides innovative learning experiences across a broad spectrum of STEM disciplines, including but not limited to Science, Engineering, Technology, and Mathematics.

By accessing our website, registering for a Program, or attending any Program or Location, you agree to be bound by these Terms.

If you are enrolling a minor, you confirm that you are the parent or legal guardian ("Parent") and agree to these Terms on behalf of yourself and the participating minor ("Student").

2. Eligibility

All participants must:

  • Meet the age requirements for the applicable Program
  • Have a Parent or legal guardian complete registration
  • Provide accurate contact and emergency information

Niba Stem reserves the right to refuse enrollment.

3. Programs and Services

Niba Stem offers a variety of Programs, which may vary in format, duration, and content.

We reserve the right to:

  • Modify Program structure or curriculum
  • Adjust schedules, instructors, or locations
  • Substitute materials or activities when necessary

Such changes do not entitle participants to refunds unless otherwise specified.

4. Registration and Enrollment

4.1 Program Types

These terms apply to all Niba Stem Academy offerings, including but not limited to scheduled classes, one-time workshops, seasonal camps, and special events such as birthday parties or team-building sessions.

4.2 Registration Process

Registration may be completed online through our official portal or in-person at any Niba Stem Academy location. For all programs, a student's spot is only confirmed once the registration process is fully completed and, where applicable, payment or a valid discount code has been processed.

4.3 Waitlists

If a program is full, you may choose to be added to a waitlist. Waitlisting does not guarantee a spot in the program. If a spot becomes available, waitlisted individuals will be notified and must complete a separate registration process to finalize their enrollment. Spots are filled on a first-come, first-served basis upon notification.

4.4 Free Programs and "No-Show" Policy

For programs offered free of charge, registration reserves a seat for the student. To maintain your reservation, students must arrive and check in at least fifteen (15) minutes before the scheduled start time. If a student has not arrived by this time, Niba Stem Academy reserves the right to release that seat to other available students or waitlisted individuals.

4.5 Tuition and Payment Terms

  • Advance Payment: Tuition for all Programs is due in full at the time of registration unless a specific installment plan or alternative arrangement has been authorized in writing by Niba Stem Academy.
  • Non-Refundable Fees: Any designated Registration Fees or administrative deposits are strictly non-refundable and non-transferable to other students or future terms.
  • Late Payments: Payments not received by the specified due date may incur late fees or interest penalties.
  • Failed Payments (NSF): Any payments returned for Non-Sufficient Funds (NSF) or declined electronic transfers will incur a standard administrative charge of $25.00 (or the maximum allowed by law) per occurrence.

4.6 Attendance and Absences

  • No Refunds for Missed Classes: Tuition fees are calculated based on enrollment, not attendance. No refunds, credits, or pro-rated adjustments will be provided for classes missed by the student due to illness, travel, or personal scheduling conflicts.
  • Make-Up Classes: While instructors may attempt to accommodate students in other sections where space permits, make-up classes are not guaranteed and are subject to availability and the Academy's discretion.

4.7 Account Suspension

Failure to resolve outstanding balances within [7/14] days of the due date may result in the immediate suspension of the student's enrollment. During suspension, the student will not be permitted to attend classes, camps, or events until the account is settled in full.

5. Cancellation and Refunds

5.1 Parent-Initiated Cancellation

  • Notice Period: For all paid Programs, you are entitled to a full refund if you cancel your registration no less than forty-eight (48) hours before the scheduled start date and time of the Program.
  • How to Cancel: Cancellations must be submitted through your active online user account, via email to our official support address, or in person at any Niba Stem Academy location.
  • Late Cancellations: Cancellations made less than 48 hours before the Program start time are non-refundable.
  • Non-Refundable Fees: As noted in Section 1.5, any designated Registration Fees are strictly non-refundable, regardless of when the cancellation occurs.

5.2 Program Cancellation by Niba Stem Academy

Niba Stem Academy reserves the right to cancel or reschedule any Program, workshop, camp, or event at its sole discretion due to:

  • Low Enrollment: Programs that do not meet minimum participant requirements.
  • Instructor Unavailability: Sudden illness or emergencies affecting our teaching staff.
  • Facility Issues: Maintenance, safety concerns, or loss of access to our lab locations.
  • Force Majeure: Events beyond our reasonable control, including but not limited to extreme weather, power outages, public health orders, or government-mandated closures.

5.3 Remedies for Academy Cancellation

In the event Niba Stem Academy cancels a Program:

  • We will notify you as soon as reasonably possible via the contact information on file.
  • You will be offered the choice of a full refund (including any applicable registration fees for that specific session) or a tuition credit toward a future Program of equal value.
  • Niba Stem Academy is not responsible for any outside costs (such as travel or childcare) incurred due to a Program cancellation.

6. Code of Conduct

Students are expected to:

  • Behave respectfully toward instructors and peers
  • Follow all safety instructions
  • Use materials and equipment responsibly

Niba Stem reserves the right to suspend or remove any participant for unsafe, disruptive, or inappropriate behavior.

No refunds will be provided in such cases.

Parents are responsible for any intentional damage caused by the Student.

7. Health and Safety

Niba Stem Academy is committed to providing a safe, supportive, and inclusive learning environment for all participants. We take reasonable steps to promote the health and wellbeing of students during all Programs and at any Locations.

Parent Responsibilities

Parents are responsible for:

  • Disclosing any relevant medical conditions, allergies, or special needs
  • Providing accurate and up-to-date emergency contact information
  • Informing Niba Stem of any changes to a Student's health or medical status
  • Ensuring that the Student is fit to participate in Programs

Illness and Participation

Students who are unwell should not attend Programs.

Niba Stem reserves the right to deny or limit participation where a Student's health, safety, or wellbeing, or that of others, cannot be reasonably ensured.

Allergies and Food Policy

Niba Stem Academy is not a nut-free environment. While we take reasonable steps to promote a safe setting, we cannot guarantee the absence of allergens at any Location.

To help reduce risk for all participants, students who bring snacks or lunches to any Program are required to bring nut-free food.

Parents remain responsible for informing Niba Stem of any allergies and for assessing whether participation is appropriate given the environment.

Emergency Situations

In the event of an emergency, Niba Stem may take reasonable action to ensure the safety and wellbeing of the Student, including seeking medical assistance where necessary.

Parents are responsible for any costs associated with medical treatment.

8. Assumption of Risk

Programs may involve:

  • Small parts (choking hazard)
  • Electrical components
  • Tools
  • 3D printers
  • Robotics equipment

Participation carries inherent risks.

By enrolling, Parent acknowledges and accepts these risks.

9. Intellectual Property

All curriculum, lesson plans, branding, materials, robotics designs, and proprietary systems are the intellectual property of Niba Stem Academy.

Materials may not be reproduced or redistributed.

Student-created physical projects belong to the Student; however, instructional materials remain the property of Niba Stem.

10. Media & Photography

Unless otherwise specified in a signed Media Opt-Out form, Niba Stem may use photographs or videos of Programs for marketing purposes.

11. LIMITATION OF LIABILITY

11.1 Scope of Protection

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION SHALL APPLY TO NIBA STEM ACADEMY, AS WELL AS ITS DIRECTORS, OFFICERS, EMPLOYEES, INSTRUCTORS, VOLUNTEERS, INDEPENDENT CONTRACTORS, AGENTS, AFFILIATES, AND ANY THIRD-PARTY PARTNERS OR VENDORS ASSOCIATED WITH THE DELIVERY OF THE PROGRAMS (COLLECTIVELY, the "PROTECTED PARTIES").

11.2 Exclusion of Damages

UNDER NO CIRCUMSTANCES SHALL THE PROTECTED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PERSONAL INJURY, OR PROPERTY DAMAGE ARISING FROM PARTICIPATION IN THE PROGRAMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 Liability Cap

THE TOTAL AGGREGATE LIABILITY OF THE PROTECTED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR PROGRAMS—WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE—SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO NIBA STEM ACADEMY FOR THE SPECIFIC PROGRAM GIVING RISE TO THE CLAIM.

11.4 Exceptions.

NOTHING IN THIS AGREEMENT PURPORTS TO EXCLUDE OR LIMIT LIABILITY FOR FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED BY LAW IN THE PROVINCE OF BRITISH COLUMBIA.

12. WARRANTY AND DISCLAIMER

12.1 Limited Warranty

NIBA STEM ACADEMY WARRANTS THAT ALL PROGRAMS WILL BE PROVIDED IN A PROFESSIONAL MANNER CONSISTENT WITH INDUSTRY STANDARDS FOR EDUCATIONAL SERVICES. YOUR SOLE REMEDY FOR A BREACH OF THIS WARRANTY SHALL BE THE RE-PERFORMANCE OF THE APPLICABLE SERVICE OR A PRO-RATED REFUND OF THE PROGRAM FEE PAID, AT THE ACADEMY'S DISCRETION.

12.2 General Disclaimer

EXCEPT AS EXPRESSLY STATED ABOVE, ALL PROGRAMS, MATERIALS, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NIBA STEM ACADEMY EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • FITNESS FOR A PARTICULAR PURPOSE: WE DO NOT GUARANTEE THAT ANY PROGRAM WILL MEET YOUR SPECIFIC ACADEMIC OR PROFESSIONAL REQUIREMENTS.
  • MERCHANTABILITY: WE DO NOT WARRANT THAT EDUCATIONAL MATERIALS OR TOOLS PROVIDED ARE OF A SPECIFIC MARKETABLE QUALITY.
  • SPECIFIC RESULTS: WE MAKE NO WARRANTY OR GUARANTEE REGARDING STUDENT PERFORMANCE, GRADES, TEST SCORES, UNIVERSITY ADMISSIONS, OR FUTURE EMPLOYMENT OUTCOMES.

12.3 Third-Party Tools

STEM PROGRAMS OFTEN RELY ON THIRD-PARTY SOFTWARE, HARDWARE, OR ONLINE PLATFORMS. NIBA STEM ACADEMY MAKES NO WARRANTY REGARDING THE AVAILABILITY, SECURITY, OR ERROR-FREE NATURE OF THESE THIRD-PARTY TOOLS AND IS NOT RESPONSIBLE FOR DATA LOSS OR DISRUPTIONS CAUSED BY THEM.

12.4 No Oral Warranties

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM NIBA STEM ACADEMY OR ITS INSTRUCTORS SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

13. Amendments to Terms

13.1 Right to Modify

Niba Stem Academy reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms at any time to reflect changes in our services, the law, or our business practices.

13.2 Notification of Changes

We will provide notice of any material changes by posting the updated Terms on our official website (https://nibastem.com/terms-and-conditions). The "Last Updated" date at the top of the Terms will indicate when the latest version was published.

13.3 Acceptance of Terms

Your continued enrollment in any Program or use of our services following the posting of changes constitutes your binding acceptance of the updated Terms. It is your responsibility to review these Terms periodically for any updates.

14. Governing Law

These Terms are governed by the laws of British Columbia, Canada.
